1. Acceptance of Terms

By using genixenergy.com.ua, you agree to be bound by these Terms of Service. If you do not agree, please discontinue use.

2. About Genixgreen

This website (genixenergy.com.ua) is operated by Shenzhen YancoPow New Energy Co., Ltd. ("we", "us", "our"), based in Shenzhen, China.

Genixgreen® is a registered trademark of Shenzhen Genixgreen Technology Co., Ltd. We operate the Genixgreen brand in Ukraine as the exclusive authorized distributor: selling LiFePO4 energy storage systems, hybrid inverters, and backup power kits to the Ukrainian market only.

3. Eligibility

You confirm that you are at least 18 years old, have legal capacity to enter into binding agreements (or are authorized to act on behalf of a company), and that your use of our service is lawful under applicable Ukrainian and international law, including trade sanctions regimes.

For B2B inquiries, we may request business credentials (EDRPOU verification or equivalent) before issuing quotations.

4. Products & Services

Genixgreen offers:

  • Energy storage systems: LiFePO4 battery packs, hybrid inverters, integrated backup power kits.
  • Distribution partnerships: For qualified resellers, installers, and EPC integrators in Ukraine.
  • Direct sales: Limited direct-to-consumer sales subject to availability.

This is not a retail e-commerce platform. Orders are processed as quotations, then confirmed based on stock and logistics. Product availability is subject to inventory at our fulfillment center: Odesa, Ukraine (operational from August 2026).

5. Order Process & B2B Sales

5.1 Quotation

  • Submit inquiries via contact form, email, WhatsApp, or Telegram.
  • We respond with a non-binding proposal within 2 business days.
  • Quotations are valid for 30 days from issue date.

5.2 Order Acceptance

  • You accept a quotation by written confirmation (email or signed PO).
  • The order is binding only when we issue a written order confirmation.
  • We reserve the right to refuse, modify, or delay orders at our discretion.

5.3 B2B Terms

  • Minimum order volumes and specific commercial terms vary per quotation.
  • Payment terms: Net 30-day invoice terms standard for qualified business customers. Deposit and milestone structure per Standard terms: 30% TT deposit + 70% balance against B/L copy. Alternative terms negotiable per quotation.
  • Currency: All quotations in USD unless otherwise agreed.

5.4 Consumer Direct Orders

Direct-to-consumer orders are subject to a mandatory 14-day inspection window post-delivery. After this period, products cannot be returned for buyer's remorse unless defective.

6. Pricing & Payment

  • Prices exclude VAT and applicable taxes unless stated.
  • Payment methods: SWIFT bank transfer (preferred). Letter of Credit (LC) at sight for qualified business customers. Online payment: N/A.
  • Late payments incur interest at NBU base rate + 5% per month or the maximum legal limit, whichever is lower.
  • You are responsible for currency conversion costs and bank fees.

7. Delivery, Risk & Title

  • Incoterms 2020: CPT Odesa by default (alternative Incoterms negotiable per quotation). Specific terms per quotation.
  • Lead time: 5-10 business days from order confirmation, subject to stock and logistics capacity. During warehouse transition (June – August 2026), lead times may extend to 30-45 days, confirmed per order.
  • Logistics partner: Nova Poshta or customer-nominated carrier.
  • Risk and title transfer: Upon delivery to shipping address and signature of receipt (or upon customer collection from warehouse).
  • We are not liable for loss or damage occurring after risk has transferred, except from our gross negligence.
  • Delays from force majeure, carrier error, or incorrect customer-provided address relieve us of liability.

8. Warranties and Disclaimers

8.1 Limited Product Warranty

Genixgreen warrants that products are:

  • Supplied by authorized manufacturers with valid factory testing certificates.
  • Free from manufacturing defects in materials and workmanship at the time of delivery.
  • In compliance with stated technical specifications in product datasheets.

Warranty Period: Detailed warranty terms (duration, coverage, exclusions) are provided in the product-specific Warranty Certificate supplied with each system. Warranty period and coverage are subject to customer volume and purchase agreement terms and may vary.

8.2 Warranty Exclusions

Warranty does not cover:

  • Damage from improper installation, misuse, or unauthorized repair.
  • Environmental damage (flooding, extreme temperature, corrosion, salt spray).
  • Wear and tear, aging, or performance degradation due to normal use.
  • Damage caused by customer's failure to follow installation or maintenance manuals.
  • Damage from power surges, grid faults, or external electrical interference not attributable to our product.
  • Cosmetic damage or variations in color/finish not affecting functionality.

8.3 DISCLAIMER: Installation and Safety

CRITICAL: Energy storage systems contain high-voltage components and require professional installation by a licensed electrician in accordance with Ukrainian electrical standards and local building codes.

  • Genixgreen does not supply installation labor. Installation is the responsibility of the customer or their nominated installer.
  • Installation liability: Genixgreen assumes no liability for injuries, fire, property damage, or system failure arising from improper installation, failure to comply with manuals, or deviation from Ukrainian electrical safety standards (ДСТУ / IEC 62619 standards).
  • Commissioning: Systems must be commissioned and tested by a qualified technician before operation.
  • User Responsibility: Customers are responsible for understanding system operation, maintenance schedules, and emergency shutdown procedures.

8.4 NO OTHER WARRANTIES

Except as expressly stated above, Genixgreen makes no warranty (express, implied, statutory, or otherwise), including merchantability, fitness for a particular purpose, non-infringement, or title. Energy storage systems are industrial products; performance depends on environmental conditions, grid stability, and correct installation.

8.5 Performance & Output Disclaimer

  • Battery capacity, charge/discharge cycles, and lifespan are estimates based on controlled laboratory conditions.
  • Actual performance varies based on temperature, usage patterns, installation environment, and grid conditions.
  • Genixgreen does not guarantee specific output, uptime percentage, or backup duration in real-world conditions.

9. Returns & Refunds

9.1 B2B Returns

  • Products are sold on a firm basis. No right of return for change of mind or order error.
  • For defective products on arrival: notify us within 7 days with photographic evidence.
  • We will issue a Return Merchandise Authorization (RMA) if applicable. Return shipping is customer's responsibility unless defect is manufacturer's fault.
  • Approved refunds processed within 15 business days of receipt and inspection.

9.2 Consumer Returns

Unopened, resalable products may be returned within 14 days of delivery. Opened/installed products cannot be returned unless defective. Return shipping is the consumer's responsibility.

9.3 Restocking Fee

A 15% restocking fee may apply on approved returns of non-defective goods.

10. Installation and Safety Disclaimer (Expanded)

  • Licensed Electricians Only: Installation, electrical connections, and system integration must be performed by a licensed electrician qualified in Ukrainian electrical code (ДСТУ ГОСТ).
  • No Genixgreen Installation Service: Genixgreen provides product and technical documentation only. We do not employ or supply installation labor.
  • Owner Responsibility: The system owner is responsible for:

- Selecting a qualified installer.

- Ensuring installer possesses valid electrical license and liability insurance.

- Verifying installation complies with building codes and electrical standards.

- Obtaining any required permits or building authority approvals.

  • Failure to Comply: Installation by unqualified personnel voids all warranties and liability limitations do not protect Genixgreen against claims arising from improper installation.
  • Emergency and Safety: Customers must understand battery system emergency shutdown, fire suppression (suitable extinguishing agent), and isolation procedures. Genixgreen provides manuals; implementation is customer's obligation.

11. Intellectual Property

The Genixgreen® name, logo, website content, product photography, and documentation are protected by trademark and copyright. You receive a non-exclusive, revocable license to access this website for lawful inquiry. You may not reproduce, redistribute, or modify our content without written permission. Product designs, battery chemistry, and inverter firmware are owned by their respective manufacturers.

12. Acceptable Use

You agree not to:

  • Use scrapers, bots, or crawlers to extract product data or pricing.
  • Attempt unauthorized access to our systems or customer data.
  • Submit fraudulent inquiries or orders.
  • Harass our staff via any channel.
  • Reverse-engineer products or attempt to derive manufacturing secrets.

Violation may result in immediate termination of access and potential legal action.

13. Third-Party Services

This website may contain links to third-party sites (manufacturers, payment providers, logistics partners). We do not endorse or assume liability for third-party content, policies, downtime, or data practices. Review their terms before use.

14. Limitation of Liability

14.1 Exclusion of Indirect Damages

Except for gross negligence or willful misconduct, Genixgreen shall not be liable for:

  • Lost profits, lost revenue, lost business opportunity.
  • Lost data, business interruption, or system downtime.
  • Indirect, incidental, consequential, or punitive damages.
  • Personal injury or property damage arising from product use or installation (except to extent grossly negligent manufacturing).

14.2 Cap on Direct Liability

Total liability for any single claim or series of related claims shall not exceed the total amount paid by you for the products and services in question or USD 50,000, whichever is lower.

14.3 Exceptions

Liability limitations do not apply to:

  • Death or personal injury from our gross negligence.
  • Mandatory statutory consumer protections under Ukrainian law.
  • Fraud or intentional breach of these terms.

15. Indemnification

You agree to indemnify and hold harmless Genixgreen, its officers, employees, and agents from any claim, demand, cost, or liability arising from:

  • Your violation of these terms or applicable law.
  • Your use of products in violation of Ukrainian building codes or electrical standards.
  • Your infringement of third-party intellectual property rights.
  • Claims by your customers, employees, or contractors related to installation or operation of Genixgreen products.

16. Termination

You may discontinue use at any time. We may immediately terminate access if you materially breach these terms, engage in fraud, default on payment by 45 days, are subject to international trade sanctions, or abuse our service. Obligations that by their nature survive termination (warranty disclaimers, indemnification, liability limits, dispute resolution) remain in force.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Ukraine, without regard to its conflict-of-law principles. The application of the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.

17.2 Dispute Resolution

First Step, Negotiation: In the event of a dispute, both parties agree to attempt good-faith negotiation for 30 days before escalation.

Second Step, Arbitration (or Litigation per Ukrainian Choice):

  • Kyiv ICAC (Ukrainian Chamber of Commerce and Industry International Commercial Arbitration Court) (e.g., Kyiv Chamber of Commerce) will serve as the arbitration forum if parties elect arbitration.
  • Alternatively, disputes may be brought in the competent courts of Ukraine, with jurisdiction in the Commercial Court of Kyiv.
  • Arbitration Rules: ICAC Rules
  • Language: English and/or Ukrainian as agreed by parties.

17.3 Injunctive Relief

Notwithstanding the above, Genixgreen may seek injunctive relief in court to prevent irreparable harm (e.g., IP infringement, misuse of confidential information).

18. Modifications

We may amend these terms at any time. Material changes will be announced 30 days in advance via email or website notice. Continued use after the effective date constitutes acceptance of the revised terms.
